These Terms of Service ("Terms") form a binding agreement between you (the "Customer") and ClawDigital Media, LLC ("ClawDigital", "we", "us"). By accessing the automation platform, dashboards, APIs, or any related services (the "Services"), you acknowledge that you have read, understood, and agree to these Terms.
1. Eligibility & accounts
- You must be at least 18 and authorized to bind your organization.
- You are responsible for safeguarding login credentials and restricting access to authorized personnel.
- We may suspend or terminate accounts that violate these Terms or TikTok Platform Policies.
2. Services overview
ClawDigital provides a secure pipeline that ingests TikTok marketing data, runs custom automations, and optionally routes leads or alerts to WhatsApp or other systems. We may update or modify the Services to maintain security or compliance, provided that such changes do not materially reduce core functionality without notice.
3. Acceptable use & TikTok compliance
- Use the Services only for lawful business purposes and in accordance with TikTok Developer Terms, TikTok Marketing API Terms, and any other third-party policies.
- Do not attempt to reverse engineer, scrape, or misuse TikTok data beyond the scopes you explicitly approved.
- Promptly notify us (support@clawdigitalmedia.com) of any suspected breach or unauthorized access.
4. Customer data & licenses
- You retain ownership of all data you supply. You grant ClawDigital a limited, revocable license to process that data solely to deliver the Services.
- You warrant that you have the right to transfer any TikTok, WhatsApp, or CRM data to us and that such transfer complies with applicable privacy laws.
- Upon termination, we will delete or return Customer Data within 30 days unless longer retention is required by law.
5. Service levels & support
- We target 99.5% uptime measured monthly, excluding scheduled maintenance and downtime caused by third-party platforms.
- Standard support is available Monday–Friday, 9am–6pm Central Time via support@clawdigitalmedia.com.
6. Fees & payment
Unless otherwise stated in an order form, Services are billed monthly in arrears. Late payments may accrue interest at 1.5% per month or the maximum allowed by law. We may suspend Services for invoices more than 30 days past due.
7. Confidentiality
Each party agrees to protect the other’s non-public information with at least reasonable care and to use it solely to fulfill obligations under these Terms. Confidentiality obligations survive termination.
8. Disclaimers
THE SERVICES ARE PROVIDED “AS IS.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not control the availability or performance of TikTok, Meta, or any third-party API.
9. Limitation of liability
To the maximum extent permitted by law, ClawDigital’s total liability for all claims in any 12-month period will not exceed the fees you paid us during that period. We are not liable for indirect, incidental, punitive, or consequential damages.
10. Indemnity
You agree to indemnify and hold ClawDigital harmless from claims arising out of (a) your misuse of the Services, (b) violation of these Terms or third-party platform policies, or (c) infringement caused by Customer Data.
11. Termination
- Either party may terminate with 30 days’ written notice.
- We may suspend or terminate immediately if you materially breach these Terms or cause regulatory risk.
- Sections that by their nature should survive (confidentiality, indemnity, limitation of liability, governing law) remain in effect.
12. Governing law & disputes
These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law provisions. Any disputes will be resolved in state or federal courts located in Travis County, Texas, and the parties consent to personal jurisdiction there.
13. Changes to Terms
We may update these Terms to reflect product or legal changes. We will notify you via email or dashboard notice before material updates take effect. Continued use after the effective date constitutes acceptance.
